Terms of Use for the ASAP Lawyers Web Platform for Ordering Professional and Specialized Services

These Terms define the procedure for using the ASAP Lawyers web platform to order professional and specialized services (hereinafter referred to as the “ASAP Lawyers” platform) and apply to all users regardless of the type of interaction with the platform.

ASAP Lawyers is an innovative web platform created to: (1) provide clients with fast, convenient, and high-quality access to legal services; (2) help professionals (lawyers, forensic experts, private bailiffs, etc.) develop their careers and find clients.

The owner of the ASAP Lawyers platform is Sole Proprietor Leonid Mykolayovych Sivakov, TIN: 2264408610, address: 04053, Ukraine, Kyiv, Velyka Zhytomyrska Street, building 33, office 331, who is authorized to practice law under Certificate No. 1247/10 dated 25.09.1997 issued by the Kyiv Regional Qualification and Disciplinary Commission of the Bar, and operates on the basis of a record in the Unified State Register of Legal Entities, Individual Entrepreneurs, and Public Organizations No. 20700170000001207 dated 13.04.2005, with the state registration date of 04.01.2001 (hereinafter referred to as the “Administration”).

Please read these Terms carefully before starting to use the ASAP Lawyers platform.

1. General Provisions

By starting to use the ASAP Lawyers platform, you agree to comply with these Terms of Use, as well as the provisions of the Public Agreement (offer) regarding the terms and rules of the ASAP Lawyers platform, which may be updated from time to time.

The Administration of the ASAP Lawyers platform has the right, at its sole discretion, to make changes to these Terms at any time. In the event of any changes, they become effective upon their publication on the platform’s website. Your continued use of the ASAP Lawyers platform after the publication of changes constitutes your acceptance of those changes. If you do not agree with the updated Terms, you must stop using the ASAP Lawyers platform and initiate the deletion of your user account.

The Administration of the ASAP Lawyers platform has the right to restrict your access to the platform or delete your account if you violate these Terms or the Public Agreement (offer), without compensation for any damages that may arise as a result of such restriction or deletion.

2. Registration Restrictions

Registration on the ASAP Lawyers platform is allowed for:

- Individuals (citizens of Ukraine, foreign nationals, and stateless persons) who are at least 18 years old and have full legal capacity;

- Legal entities registered in the Unified State Register of Legal Entities, Individual Entrepreneurs, and Public Organizations, or established in accordance with the laws of a foreign country.

Persons who do not meet the specified criteria are prohibited from registering on the ASAP Lawyers platform. By using the ASAP Lawyers platform, you confirm that you meet the above requirements.

The Administration of the ASAP Lawyers platform reserves the right to verify users’ compliance with these requirements and to restrict access to the platform or delete user accounts that do not meet the specified criteria.

3. User Account on the ASAP Lawyers Platform

By creating a user account on the ASAP Lawyers platform, you acknowledge that you are fully responsible for any actions taken through your account, including situations where third parties gain unauthorized access to it.

You are obliged to monitor your account and immediately notify the platform's administration in case of any suspicion of unauthorized access to your account.

The Administration of the ASAP Lawyers platform is not liable for any damages caused by your failure to monitor your account or failure to notify the Administration about unauthorized access by third parties to your account.

4. Information Publication

If you publish any information on the ASAP Lawyers platform, including data and/or details that may be stored on physical media or displayed electronically, you guarantee that:

- You have the right to publish such information, and its publication does not infringe on property rights, including intellectual property rights, of third parties;

- If you publish information that is owned by a third party, you have obtained permission from that party to publish the information on the ASAP Lawyers platform;

- The information complies with applicable Ukrainian law, does not contain offensive statements, obscene language, links to harmful software or so-called "hacker programs" intended for unauthorized access to information or disruption of the platform, spam, or advertising of goods, works, or services that do not align with the specialization of the ASAP Lawyers platform;

- The information related to your user account (such as your full name, email address, and other identifying data) is truthful and belongs to you, and you are not impersonating another person;

- By publishing information on the ASAP Lawyers platform, you grant the Administration permission to use such information for the operation and promotion of the platform.

If you delete published information, the Administration of the ASAP Lawyers platform will make reasonable efforts to remove it; however, you acknowledge that copies of such information may remain available due to caching or other technical reasons.

The Administration of the ASAP Lawyers platform reserves the right, at its sole discretion, to delete any information it believes violates these Terms or the Public Agreement (Offer).

The Administration of the ASAP Lawyers platform is not liable for any damages caused by user-published content on the Platform.

5. Legal Use Purposes

You are required to use the ASAP Lawyers platform solely for legal purposes and in accordance with the applicable laws of Ukraine and the intended function of this Platform.

While using this platform, you must not violate Ukrainian legislation, international law norms, or the rights and freedoms of others.

6. External Links

The ASAP Lawyers platform may contain links to third-party websites and services, but it is not responsible for their content.

The Administration of the ASAP Lawyers platform does not control and bears no responsibility for external websites and services to which links are provided on this platform.

By following any external link placed on the ASAP Lawyers platform, you acknowledge that the platform is not responsible for the content of such websites and will not compensate you for any damage caused by the use of those external sites and services.

7. Intellectual Property

All intellectual property rights to the ASAP Lawyers platform and related content, including but not limited to trademarks, logos, design, text, and other proprietary materials, belong to sole proprietor L.M. Sivakov (TIN: 2264408610) and are protected by intellectual property laws.

By using the ASAP Lawyers platform, you agree that sole proprietor L.M. Sivakov (TIN: 2264408610) retains all rights to his intellectual property in the form of the ASAP Lawyers platform, and that no rights to this platform are transferred to you, except as expressly provided in these Terms.

Any third-party intellectual property objects that may be published on the ASAP Lawyers platform remain the property of their respective owners. Your use of the platform does not grant you any rights to such objects.

8. Changes to the ASAP Lawyers Platform

The Administration of the ASAP Lawyers platform reserves the right, at its sole discretion, to modify, suspend, or terminate the operation of this platform, in whole or in part, at any time, with or without notifying users, including introducing, removing, or modifying features on the platform.

9. Disclaimer of Warranties

Professional services and specialized work are provided through the ASAP Lawyers platform on an “as is” and “as available” basis.

The Administration of the ASAP Lawyers platform is not responsible for the actions or inactions of clients and professionals, nor for the quality, scope, timing, or any other conditions of the services provided or work performed under agreements between clients and professionals.

The Administration of the ASAP Lawyers platform does not guarantee that the platform will operate uninterrupted or error-free. Access to this platform may be temporarily restricted for maintenance or repair work.

You agree that the provision and receipt of professional services and specialized work through the ASAP Lawyers platform is done at your own discretion and risk.

10. Limitation of Liability and Compensation

The Administration of the ASAP Lawyers platform is not liable for any damages that may be caused to professionals or clients in connection with the use of this platform.

11. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the applicable laws of Ukraine, regardless of conflict of law principles.

All disputes and disagreements that may arise in connection with the use of the ASAP Lawyers platform shall be resolved through negotiations, with mandatory compliance with pre-trial settlement procedures and involvement of the Platform’s Administration, which shall be notified in writing by the initiator of the dispute and reserves the right to conduct a mediation procedure between users.

If a dispute cannot be resolved through negotiation or mediation, it shall be settled by the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry in accordance with its regulations.

12. Transfer of Rights to Third Parties

The Administration of the ASAP Lawyers platform may transfer its rights and obligations regarding this platform, in whole or in part, to third parties without notifying users.

You may not transfer your rights or obligations regarding this platform to third parties.

13. Headings

The section headings used in these Terms are provided for convenience only and do not affect the interpretation of the Terms.

14. Validity of These Terms

These Terms are intended exclusively for the Administration of the ASAP Lawyers platform and its users.
