PUBLIC AGREEMENT(OFFER)
regarding the acceptance of the terms and conditions of the "ASAP Lawyers" web platform for ordering professional and specialized services
Sole proprietor Leonid Mykolaiovych Sivakov, TIN: 2264408610, address: 04053, Ukraine, Kyiv, Velyka Zhytomyrska Street, building 33, office 331, who is authorized to practice law pursuant to Certificate No. 1247/10 dated 25.09.1997 issued by the Kyiv Regional Qualification and Disciplinary Bar Commission, acting on the basis of entry No. 20700170000001207 dated 13.04.2005 in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations, with the date of state registration being 04.01.2001 (hereinafter referred to as the "Service Provider"),
offers individuals who register and become users of the "ASAP Lawyers" web platform to order professional and specialized services from, including but not limited to, lawyers, bailiffs, experts, etc. (hereinafter referred to as the "Platform"), to conclude an agreement as follows:
1. The Service Provider grants users access to the Platform available at https://asap.expert and its functionalities via the Internet by means of user registration on the Platform.
2. The Platform Users are:
2.1. Individuals (citizens of Ukraine, foreign nationals, and stateless persons) who are at least 18 years old, have full legal capacity, and have registered on the Platform on their own initiative by creating an account with the Service Provider’s permission;
2.2. Legal entities operating based on an entry in the Unified State Register of Legal Entities, Individual Entrepreneurs, and Public Organizations, as well as legal entities established under the legislation of a foreign country, who have registered on the Platform on their own initiative by creating an account with the Service Provider’s permission.
3. Platform Specialists are users who provide services and perform work through the Platform, including but not limited to: lawyers, private bailiffs, experts, etc. (hereinafter referred to as “Specialists”). Specialists do not enter into employment relationships with the Service Provider and are not its employees. Specialists must have appropriate documents confirming their professional qualifications and authorization to provide services or perform work.
4. A Client of the Platform may be any person who searches for and places an order with a Specialist for the provision of services or performance of work (hereinafter referred to as “Clients”). Specialist services may be provided on a paid or free basis depending on the agreement with the Client.
5. The Service Provider offers informational services to Specialists and Clients aimed at facilitating interaction between them by organizing the process of service provision by Specialists to Clients based on their requests. In the event of any transactions between a Specialist and a Client, the Service Provider is not a party to such transactions and bears no responsibility for the improper performance of obligations by either party. The Service Provider may act as a mediator between Platform users upon their consent and may participate in insuring the professional liability of Specialists for damages that may occur during the provision of services and/or performance of work.
6. The Platform User undertakes to:
6.1. Post accurate and up-to-date information about themselves on the Platform;
6.2. Not share access to their account with third parties;
6.3. Properly fulfill their obligations to the Service Provider and to other users of the Platform;
6.4. Use the Platform exclusively for lawful purposes, in compliance with the applicable laws of Ukraine and the intended functionality of the Platform;
6.5. Publish only such information on the Platform for which they have the legal right to disclose;
6.6. Refrain from any actions that may interfere with or disrupt the normal operation of the Platform;
6.7. Not publish on the Platform any information prohibited by the applicable laws of Ukraine, including but not limited to: offensive statements directed at the Service Provider, the Platform, or its users; obscene language; links to malicious software or so-called “hacker programs” intended for unauthorized access to information or disruption of the Platform; spam; advertising of goods, works, or services that do not align with the specialization of the Platform;
6.8. Provide the Service Provider and/or other users of the Platform, upon request, with information and documents confirming the right to provide specialized services and perform work (for Specialists);
6.9. Independently, without the assistance of the Service Provider, establish contractual relationships with Clients (for Specialists);
6.10. Pay for the Specialist’s services (for Clients).
7. The Platform User has the right to:
7.1. Use the Platform in accordance with the terms of this Agreement;
7.2. Submit suggestions, comments, or feedback to the Service Provider regarding the improvement of the Platform’s functionality;
7.3. Receive informational and technical support from the Service Provider on matters related to the use of the Platform;
7.4. Access their personal information on the Platform, view and edit it with the assistance of the Service Provider's representatives;
7.5. Receive notifications from the Service Provider regarding changes in the Platform’s functionality, updates, and new features;
7.6. Delete their account on the Platform upon agreement with the Service Provider's representatives;
7.7. Freely choose Specialists (for Clients) or service/work orders (for Specialists) that match their needs/specialization;
7.8. Rate and leave feedback about their interactions with other Platform users;
7.9. Contact the Service Provider with a request to remove or correct false or inaccurate information posted on the Platform by other users;
7.10. Receive payment for their services (for Specialists).
8. The Service Provider has the right to:
8.1. Perform technical and administrative maintenance of the Platform, including temporarily restricting access to it for the purpose of preventive or repair work;
8.2. Make changes to the functionality of the Platform, its terms of use, and the terms of this Agreement at any time and for any reason without additional consent from Platform users;
8.3. Receive from users the information necessary to ensure the operation of the Platform, provision of services, performance of work, or fulfillment of obligations stipulated in this Agreement;
8.4. Remove from the Platform any information that violates the terms of this Agreement, the applicable laws of Ukraine, or the rights of third parties;
8.5. Restrict access to or delete user accounts that violate the rules of Platform use or engage in actions that hinder its normal functioning;
8.6. Share user information with third parties solely in cases strictly required by the laws of Ukraine or norms of international law that impose such an obligation on the Service Provider;
8.7. Send notifications to Platform users using their contact details provided during registration, regarding the operation of the Platform;
8.8. At any time during the operation of the Platform, announce and bring to the attention of Platform users (both current and future) a decision to make the use of the Platform paid or free of charge.
9. The Service Provider undertakes to:
9.1. Ensure uninterrupted access to the Platform for users, except during periods of preventive and repair work, as well as in the event of force majeure circumstances;
9.2. Ensure the protection and confidentiality of users’ personal data in accordance with the applicable laws of Ukraine, taking into account the provisions of clause 8.6 of this Agreement, and not use users’ personal information provided during registration on the Platform for purposes not stipulated in this Agreement, except as provided in clause 8.6 of this Agreement;
9.3. Provide informational and technical support to Platform users regarding its operation;
9.4. Review user requests, including complaints, suggestions, and comments regarding the operation of the Platform, within a reasonable time frame.
10. The Service Provider has access to all content on the Platform, including users’ personal messages on the Platform.
11. By registering on the Platform, Specialists give their consent to the Service Provider to use photos/videos and other types of content created within the scope of their use of the Platform for the purpose of promoting the Platform.
12. The Service Provider is not responsible for the actions or inactions of Clients or Specialists, nor for the quality, scope, timing, or any other conditions related to the provision of services and/or performance of work agreed upon between Clients and Specialists.
13. The Service Provider is not responsible for the extent to which the result of a provided service or completed work by a Specialist meets the Client’s expectations.
14. All disputes and disagreements that may arise between users regarding the use of the Platform shall be resolved through negotiations with mandatory pre-trial procedures and with the involvement of the Service Provider, who must be notified in writing by the party initiating the dispute and has the right to conduct a mediation process between the users of the Platform.
15. If the dispute cannot be resolved through negotiations or mediation, it shall be resolved by the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Ukraine in accordance with its regulations.
16. The Service Provider publishes the terms of this Agreement on the Platform’s website at https://asap.expert. This Agreement becomes effective upon its publication on the Platform’s website. This Agreement is public in accordance with Article 633 of the Civil Code of Ukraine. Its terms are the same for all individuals who are users of the Platform.
17. The fact of a user's registration on the Platform and/or actual use of the Platform constitutes unconditional acceptance of the terms of this Agreement by the user.
18. The Service Provider may, at its own discretion, amend this Agreement at any time. In case of amendments, such changes shall take effect upon the publication of the updated version of the Agreement on the Platform’s website.
19. Any matters not governed by this Agreement shall be resolved in accordance with the applicable laws of Ukraine.
